Photography Service Agreement

Party A will be referred to as Snapshot Photography.

Party B will be referred to as the client.


1. Engagement of Photographer


1.1 Services: Party B engages Party A to provide photography services as detailed in the client’s quotation or invoice. These services include, but are not limited to, photography coverage of the event, delivery of edited images, and other agreed deliverables as outlined in the quotation or invoice.

1.2 Exclusivity: Party A will be the exclusive provider of photography services unless otherwise agreed in writing. Party B shall not engage other photographers to capture the same event without prior consent.

 

2. Fees and Payment


2.1 Fees: Party B agrees to pay the total amount outlined in the invoice. The non-refundable booking fee as specified on the quote/invoice secures Party A’s availability. Additional hours beyond the agreed package will be charged at R900 per hour.

2.2 Retainer/Deposit: The retainer/deposit fee is due upon signing this Agreement or when an invoice is presented to Part B. The retainer compensates Party A for reserving the event date and turning down other work.

2.3 Invoice and Late Fees: The remaining balance (full invoice amount) is due by the event date or as specified on the invoice. Accounts not settled by the due date will incur a 20% monthly penalty fee (calculated every 30 days from the payment due date) as well as forfeit any discounts that were applied on the invoice. Party B acknowledges that services will not proceed or deliverables will not be released until full payment is received.

2.4 Additional Hours: Additional rates will apply when working over the specified timeframe. The package duration is specified on the invoice as well as on Snapshot Photography's webpage. Photography packages additional rate is R900/hour and Logo Design & Rebranding Service additional rate is R250/hour.

 

3. Client Responsibilities


3.1 Timetable: Party B must provide a detailed schedule of the event, including key moments requiring photography, at least one week (7 days) before the event date.

3.2 Venue and Permissions: Party B must ensure that all necessary permissions, permits, licenses, and consents are obtained from the venue, including access and photography rights. Party B is responsible for notifying attendees of the photography.

3.3 Travel and Expenses: Party B will reimburse Party A for travel expenses beyond a 150km radius from Table View, Cape Town at R3.50 per km. For venues requiring overnight stays, Party B will be responsible to cover accommodation costs.


4. Photographer Responsibilities


4.1 Equipment: Party A will provide all necessary photography equipment and backup systems to ensure reliable service.

4.2 Professional Standards: Party A will perform all services in a professional and courteous manner, ensuring the final product meets high-quality standards consistent with Party A’s portfolio.

4.3 Safety: If Party A’s safety or equipment is at risk during the event, Party A may pause or terminate services until the issue is resolved.

4.4 Limit On Revisions And Concepts: Party A offers two revisions only, on the Logo Design & Rebranding Service. This includes the logo design, typography selection, and colour palette development.

 

5. Ownership and Copyright


5.1 Copyright: Party A retains full copyright over all images captured. Party A may use the images for promotional, advertising, or portfolio purposes unless otherwise agreed in writing.

5.2 Client Use: Party B is granted a limited, non-transferable license to use the images for personal purposes, including social media, provided that proper credit is given to Party A unless otherwise stated on the invoice.

5.3 Third-Party Use: No third party, including venues and other vendors, may use the images without prior written consent from Party A. Third parties may purchase images for marketing purposes.

5.4 Photo Credit: If the photographs are published online on Facebook, Instagram, blogs, magazines, or any other media, the necessary credit must be given such as tagging Snapshot Photography or displaying Party A’s website details (www.snapshotphotography.co.za).

 

6. Digital Image Licensing


6.1 Rights-Managed Agreement: All images are licensed under a rights-managed agreement detailing specific usage, duration, and territory.

6.1.1. Scope of Use: The license is limited to specific media, duration, and geographic territory as outlined in the cost estimate or invoice. It is non-exclusive, meaning I may license the same image to other clients for similar purposes.

6.1.2. Ownership and Restrictions: All images remain the property of Snapshot Photography. Licensed rights are non-transferable and non-sublicensable, meaning they cannot be shared or sold to third parties. Any rights not explicitly granted in the license are retained by Snapshot Photography, including the right to use the image for self-promotion, competitions, or resale.

6.1.3. Protection and Usage: You must take necessary measures to prevent unauthorized use or distribution.

6.1.4. Client-Specific Agreement: The license is issued solely to the individual or company listed in the cost estimate or invoice.

6.2 Protection: Party B must protect the licensed images from unauthorized use or distribution. Party B is allowed one digital backup for personal use.

 

7. Term and Termination


7.1 Term: This Agreement remains effective until all services are rendered and final deliverables are paid for.

7.2 Cancellation: Party B may cancel the Agreement with at least 14 days’ written notice. The booking fee is non-refundable, and cancellations within 14 days may incur additional charges. If Party B has paid in full, the balance will be refunded after deducting the booking fee.

7.3 Rescheduling: Party B may reschedule the event subject to Party A’s availability. If no suitable date is found, the Agreement will be treated as a cancellation.

7.4 Force Majeure: Neither party will be held liable for delays or cancellations caused by circumstances beyond their control, including natural disasters or emergencies.

 

8. Limitations of Liability


8.1 Maximum Liability: Party A’s liability is limited to the fees paid under this Agreement.

8.2 Service Interruptions: Party A is not liable for interruptions caused by equipment failure, venue restrictions, or unforeseen events.

8.2.1 In the event that Party A becomes ill, is injured or for some other reason is unable to photograph the event, Party B will be notified at least 2 days prior to the event. However, Party A will endeavor to secure a replacement photographer. If a suitable replacement cannot be found, Party A’s responsibility and liability is limited to return all payments made by the client for the event package as such.

8.2.2. In the unlikely event of total photographic failure of all Party A’s equipment (e.g. all equipment getting stolen / destroyed or some other catastrophic event), Party A’s liability shall be limited to the return of all payments received for the event package and shall not be held responsible for any consequential damages, emotional or otherwise.

8.2.3. Party A will be shooting with two camera bodies with multiple lenses, and spare memory cards. Images will be reviewed whilst shooting and back-ups to computer disk will be made as soon as Party A arrives at premises where Party A’s computer equipment is safely kept.

8.2.4. Party A endeavors to take reasonable back-up and recovery precautions of computer storage.

 

9. Post-Event Deliverables


9.1 Editing: Professional editing, including colour correction and exposure adjustments is included.

9.2 Delivery: Images will be delivered digitally via a secure link within the timeframe specified on the invoice. Party B is responsible for downloading images within three days of notification.

9.3 Retention: Party A will not retain unedited or additional images beyond what is specified in the package. High resolution images will be kept in cloud storage for 3 months until which Party A have full rights to delete the images.

 

10. General Provisions


10.1 Entire Agreement: This document constitutes the entire Agreement between the Parties and supersedes all prior agreements.

10.2 Amendments: Any changes must be made in writing and signed by both Parties.

10.3 Governing Law: This Agreement is governed by the laws of South Africa.

10.4 Severability: If any provision is found invalid, the remaining terms shall remain in effect.

 

11. Acceptance


11.1 Terms and Conditions: By signing this contract or paying the invoice/deposit, Party B acknowledges that they have read and understood the terms and conditions and agrees to all of the above and is further familiar with all details of the selected photographic packages.
